01 Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Broadpath Logistics Inc., a Canadian corporation incorporated in Ontario ("Broadpath", "we", "us"). By creating an account, purchasing credits, calling our API, or otherwise using the Broadpath service (the "Service"), you agree to these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "Customer" refer to that entity. If you do not have such authority, do not use the Service.

02 The Service

Broadpath provides software-as-a-service for container tracking, vessel intelligence, and related logistics data, including:

  • Container tracking — aggregation of carrier APIs (Maersk, MSC, CMA CGM, Hapag-Lloyd, ONE, Evergreen, COSCO, ZIM, HMM, Yang Ming, PIL, etc.) with daily polling and event-history retention.
  • Live ship map — real-time vessel positions sourced from AIS networks (terrestrial and satellite).
  • Ports intelligence — vessel arrivals, departures, and anchorage data for 32 major container terminals.
  • REST API — programmatic access to the above, documented at broadpath.app/api-docs/.

We may add, modify, or discontinue features at our discretion. Material changes that affect existing customers will be communicated in advance where reasonably practical.

03 Accounts & Eligibility

3.1 Account creation

To use the Service you must register an account at app.broadpath.app. You agree to provide accurate, current information and to keep it up to date.

3.2 Eligibility

You must be at least 18 years of age and legally capable of entering binding contracts in your jurisdiction. You may not use the Service if you are located in, or a resident of, any country subject to comprehensive Canadian or U.S. trade sanctions.

3.3 Security

You are responsible for safeguarding your password and API keys, and for any activity conducted through your account. Notify us immediately of unauthorized access to [email protected].

04 Acceptable Use

You agree not to, and not to permit anyone else to:

  • Use the Service in violation of any applicable law, including export control, sanctions, or maritime regulation.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent expressly permitted by law.
  • Resell, sublicense, or redistribute the Service or its data to third parties without our prior written consent.
  • Use the Service to track persons, harass, or surveil individuals — Broadpath is a freight-tracking product, not a tool for tracking people.
  • Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures, without our prior written authorization (security researchers: see /resources/support/).
  • Exceed published rate limits, attempt to circumvent rate limits, or use the API in a way that materially degrades performance for other customers.
  • Use the Service to develop a competing product or service.

05 Payment, Credits & Refunds

5.1 Pay-as-you-go credits

Broadpath sells the Service as tracking credits. One credit tracks one unique container for 30 days of unlimited re-tracking. Credits expire 12 months from purchase if unused. Pricing is published at /track-containers/ and may change with 30 days' notice for new purchases.

5.2 Custom plans

Enterprise or volume customers may enter into separate written agreements with different pricing, billing cadence, and service terms. Where a custom agreement conflicts with these Terms, the custom agreement controls.

5.3 Refunds

Unused credits are refundable in full within 60 days of purchase. Email [email protected] from your account email. Used credits — credits where polling has begun — are non-refundable.

5.4 Taxes

Prices are exclusive of applicable sales, use, value-added, withholding, and similar taxes. You are responsible for paying all such taxes, except for taxes on our net income.

5.5 Failed payments

If a payment fails, we may suspend or terminate the affected account. Outstanding fees remain payable.

06 Intellectual Property

6.1 Our IP

The Service, including all software, content, designs, trademarks, and documentation, is owned by Broadpath or its licensors and is protected by Canadian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations, subject to these Terms.

6.2 Your data

You retain all rights to data you submit ("Customer Data") — including container numbers, account information, and configuration. You grant Broadpath a license to process Customer Data solely to operate and improve the Service.

6.3 Feedback

If you provide suggestions or feedback, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service.

07 Third-Party Data

The Service incorporates data from third parties, including ocean carriers, AIS networks (e.g., aisstream.io, datalastic, satellite AIS providers), and third-party carrier-data aggregators. Broadpath does not warrant the accuracy, completeness, or timeliness of any third-party data and is not liable for errors or omissions originating in those sources.

You agree not to redistribute third-party data outside the Service except as permitted by your subscription and the upstream provider's terms.

08 Service Availability

We target 99.5% monthly uptime for the API and dashboard, excluding scheduled maintenance announced at least 48 hours in advance and circumstances beyond our reasonable control (force majeure, third-party outages, network attacks, etc.). Status: /resources/support/.

The Service is provided on an "as-is" and "as-available" basis. We may temporarily suspend access to perform maintenance, address security incidents, or respond to legal process.

09 Termination

9.1 By you

You may stop using the Service at any time. To delete your account, email [email protected]. Unused credits within the 60-day window will be refunded; expired credits are forfeit.

9.2 By us

We may suspend or terminate your account immediately, with or without notice, for material breach of these Terms, prolonged inactivity (12+ months with no credit purchases), or if required by law.

9.3 Effect of termination

Upon termination, your access ends and we may delete Customer Data after 90 days. Provisions intended to survive — including IP, Disclaimers, Limitations of Liability, Indemnification, and Governing Law — will survive.

10 Disclaimers & Limitations

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROADPATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Broadpath is a visibility tool, not a system of record. Customers should not rely solely on Broadpath data for shipment-critical decisions without independent verification. Carrier portals and bills of lading remain the authoritative source for legal/contractual purposes.

Limitation of liability: To the maximum extent permitted by law, Broadpath's aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) CAD $100, or (b) the fees paid by Customer to Broadpath in the 12 months preceding the claim. Broadpath shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.

11 Indemnification

You agree to indemnify and hold harmless Broadpath, its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of applicable law, or (d) your infringement of any third-party right.

12 Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Toronto, Ontario for any dispute arising out of these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

13 Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
